We are Engage Family Education LLC, doing business as Apogee Alliance PA ("Company," "we," "us," or "our"), a company registered in Pennsylvania, United States.

We operate the website www.apogeealliancepa.com (the "Site"), as well as related programs, products, services, communications, registrations, and other services that refer or link to these Terms and Conditions (collectively, the "Services").

These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Engage Family Education LLC DBA Apogee Alliance PA concerning your access to and use of the Services.

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS AND CONDITIONS, YOU MUST DISCONTINUE USE OF THE SERVICES.

Supplemental terms, enrollment agreements, waivers, policies, registration terms, or other documents that may be provided or posted in connection with specific programs or Services are incorporated into these Terms and Conditions by reference where applicable.

We reserve the right to make changes or modifications to these Terms and Conditions from time to time. We will indicate changes by updating the "Last Updated" date at the top of this page.

It is your responsibility to periodically review these Terms and Conditions. Your continued use of the Services after revised Terms and Conditions are posted constitutes acceptance of those changes.

The online Services are primarily intended for adults who are at least 18 years old. Minors should access or use the Services only with the involvement and supervision of a parent or legal guardian.

1. OUR SERVICES

The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or would subject us to a registration requirement within that jurisdiction.

Persons who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

Apogee Alliance PA is a homeschool support and enrichment program. Information provided through the Site is intended to describe our programs, philosophy, enrollment opportunities, events, resources, and related Services.

Nothing contained on the Site should be interpreted as legal, medical, financial, therapeutic, or other professional advice.


2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

Unless otherwise indicated, we are the owner or authorized licensee of intellectual property contained in our Services, including website content, text, graphics, photographs, videos, logos, designs, program materials, downloadable materials, and other content (collectively, the "Content").

Our names, logos, branding, service marks, and other identifying materials are referred to collectively as the "Marks."

The Content and Marks are protected by applicable copyright, trademark, intellectual property, and unfair competition laws.

Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Access the Services; and

Download or print portions of the Content to which you have properly gained access for your personal, non-commercial use.

Unless otherwise permitted in writing, no portion of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, publicly displayed, distributed, sold, licensed, modified, or commercially exploited.

We reserve all rights not expressly granted to you.

Your Submissions

If you voluntarily send us a question, comment, suggestion, idea, feedback, testimonial, or other information regarding our Services ("Submissions"), you authorize us to use that Submission for legitimate business purposes, subject to applicable law and our Privacy Policy.

You represent that you have the right to provide any Submission you send to us and that doing so does not violate the intellectual property, privacy, publicity, or other rights of another person.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

You have the legal capacity to agree to these Terms and Conditions;

Information you provide to us is truthful, accurate, current, and complete;

You will maintain the accuracy of information you provide where applicable;

You will not access the Services through unauthorized automated or non-human means;

You will not use the Services for any illegal or unauthorized purpose; and

Your use of the Services will not violate applicable law or regulation.

If information you provide is false, inaccurate, outdated, or incomplete, we reserve the right to suspend or terminate access to portions of the Services.


4. PURCHASES AND PAYMENT

Certain Services may require payment, including enrollment fees, materials fees, tuition, events, drop-in programs, enrichment programs, camps, memberships, merchandise, or other offerings.

You agree to provide current, complete, and accurate billing and payment information for purchases made through the Services.

You agree to promptly update payment information when necessary so transactions can be completed and we can contact you regarding your purchase.

Prices are listed in U.S. dollars unless otherwise stated.

You agree to pay all charges at the prices and under the terms presented at the time of purchase, registration, or enrollment.

If you authorize an electronic payment, you authorize us and our payment service providers to process the applicable amount using the payment method you provide.

Electronic payment or processing fees may apply when disclosed before payment.

We reserve the right to correct pricing, billing, or administrative errors.

Specific tuition payment schedules, enrollment fees, late fees, payment processing fees, and other financial terms may also be governed by an enrollment agreement, invoice, registration form, or other agreement between you and Apogee Alliance PA.

If there is a conflict between these general Terms and Conditions and a specific written enrollment or registration agreement, the terms of the specific agreement will control with respect to that program or transaction.


5. REFUND AND CANCELLATION POLICIES

Refund, cancellation, withdrawal, and payment obligations may vary depending on the program, event, membership, registration, or Service purchased.

Any refund or cancellation terms displayed during registration or included in an enrollment agreement, invoice, registration form, waiver, or other written agreement will govern that transaction.

Enrollment fees, materials fees, deposits, event fees, tuition payments, and other charges may be designated as non-refundable when disclosed at the time of registration or in the applicable agreement.

Unless otherwise stated in writing, submitting payment does not guarantee a refund if you later choose not to participate.


6. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than those for which we make the Services available.

You agree not to:

Systematically retrieve data or Content to create a collection, database, directory, or competing resource without our written permission;

Attempt to obtain passwords, account information, or other sensitive information belonging to another person;

Circumvent or interfere with security-related features of the Services;

Use information obtained through the Services to harass, abuse, threaten, or harm another person;

Submit false reports or intentionally misleading information;

Use the Services in violation of applicable laws or regulations;

Engage in unauthorized framing or linking;

Upload or transmit malicious software, viruses, Trojan horses, or other harmful material;

Use automated scripts, robots, scrapers, or data-mining tools to access the Services without authorization;

Impersonate another person or falsely represent your identity;

Interfere with or create an unreasonable burden on the Services or networks connected to them;

Attempt to bypass measures designed to restrict access to portions of the Services;

Copy, reverse engineer, decompile, or otherwise misuse software associated with the Services except as permitted by applicable law;

Collect names, email addresses, phone numbers, or other user information for unsolicited marketing;

Use our Content or Services to compete with us without authorization;

Use our Services to advertise or sell unrelated goods or services without approval; or

Use the Services in any manner that could damage the reputation, safety, functionality, or integrity of Apogee Alliance PA or its community.

Violation of these restrictions may result in suspension or termination of access to the Services.


7. USER-GENERATED CONTRIBUTIONS

Certain portions of our Services may allow users to submit information, photographs, videos, comments, forms, testimonials, or other materials ("Contributions").

When you submit a Contribution, you represent that:

You own the Contribution or have permission to submit it;

Your Contribution does not infringe the rights of another person;

You have obtained any necessary consent from identifiable individuals included in the Contribution;

Your Contribution is not knowingly false or misleading;

Your Contribution does not contain unlawful, threatening, defamatory, obscene, harassing, discriminatory, or otherwise prohibited material;

Your Contribution does not violate another person's privacy or publicity rights; and

Your Contribution complies with applicable law.

You remain responsible for the Contributions you provide.


8. CONTRIBUTION LICENSE

You retain ownership of your original Contributions.

By voluntarily submitting Contributions to us, you grant us permission to access, store, process, and use the information as reasonably necessary to provide our Services and as described in our Privacy Policy.

If you voluntarily provide feedback, suggestions, reviews, or testimonials, you authorize us to use that feedback for legitimate business, program improvement, or promotional purposes unless otherwise agreed in writing.

Photographs, videos, or other media depicting children will be used in accordance with applicable parental or guardian permissions, releases, and policies.


9. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to websites, applications, resources, products, or services operated by third parties ("Third-Party Websites").

We may also reference or display information, photographs, videos, software, resources, or other materials originating from third parties ("Third-Party Content").

We do not control Third-Party Websites and are not responsible for their content, accuracy, availability, policies, security, or privacy practices.

The inclusion of a link does not necessarily imply endorsement.

If you leave our Services to access a Third-Party Website, you do so at your own risk and should review that third party's applicable terms and privacy policies.

Transactions made directly with third parties are solely between you and the applicable third party.


10. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

Monitor the Services for violations of these Terms and Conditions;

Take appropriate action in response to violations;

Restrict or disable access to content or accounts when reasonably necessary;

Remove materials that create technical, security, legal, or operational concerns; and

Manage the Services in a manner designed to protect our rights, users, community, systems, and property.

We care about privacy and data security.

Our Privacy Policy is incorporated into these Terms and Conditions by reference.

By using the Services, you acknowledge that information may be collected, processed, stored, and used as described in our Privacy Policy.

Our Services are operated in the United States. If you access them from another country or jurisdiction, information you provide may be transferred to and processed in the United States.


12. TERM AND TERMINATION

These Terms and Conditions remain in effect while you use the Services.

To the fullest extent permitted by law, we reserve the right to restrict or terminate access to the Services when we reasonably believe that a user has:

Violated these Terms and Conditions;

Violated applicable law;

Misused our Services;

Threatened the security or operation of our systems; or

Engaged in conduct that could harm the Company, another user, or another person.

Termination of website or account access does not eliminate payment obligations, contractual obligations, enrollment terms, waivers, releases, or other provisions that by their nature should survive termination.


13. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, update, suspend, or discontinue portions of the Services at any time.

We cannot guarantee that the Services will be available at all times.

Hardware problems, software issues, maintenance, Internet outages, third-party platform interruptions, security concerns, or other circumstances may result in delays or temporary interruptions.

To the fullest extent permitted by law, we are not responsible for loss or inconvenience caused by temporary inability to access the Services.


14. GOVERNING LAW

These Terms and Conditions and your use of the Services are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.


15. DISPUTE RESOLUTION

Informal Negotiations

To expedite resolution and reduce the cost of a dispute, controversy, or claim relating to these Terms and Conditions ("Dispute"), you and the Company agree to first attempt to resolve the Dispute informally.

Unless immediate legal relief is reasonably necessary, either party should provide written notice of the Dispute and allow at least thirty (30) days for informal resolution before initiating arbitration or litigation.

Binding Arbitration

If a Dispute cannot be resolved through informal negotiations, the Dispute may, to the extent permitted by applicable law, be resolved through binding arbitration.

YOU UNDERSTAND THAT ARBITRATION MAY LIMIT THE RIGHT TO HAVE A DISPUTE DECIDED BY A COURT OR JURY.

Arbitration shall be conducted in accordance with applicable rules of the American Arbitration Association ("AAA"), including applicable consumer arbitration rules.

Where permitted, arbitration may be conducted in person, by telephone, online, or through submission of documents.

Unless otherwise required by applicable law or AAA rules, arbitration will take place in Montgomery County, Pennsylvania.

If a Dispute proceeds in court rather than arbitration, the parties consent to jurisdiction and venue in the applicable state or federal courts serving Montgomery County, Pennsylvania.

Individual Claims

To the fullest extent permitted by law, disputes will be resolved on an individual basis and not as part of a class, consolidated, or representative action.

Exceptions

Claims involving intellectual property rights, theft, unauthorized use, privacy violations, or requests for injunctive or equitable relief may be brought directly before a court of competent jurisdiction where permitted by law.


16. CORRECTIONS

Information on the Services may occasionally contain typographical errors, inaccuracies, outdated information, or omissions relating to program descriptions, pricing, schedules, availability, dates, or other information.

We reserve the right to correct errors, inaccuracies, or omissions and to update information at any time without prior notice.


17. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

To the fullest extent permitted by law, we disclaim warranties, express or implied, relating to the Services, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make reasonable efforts to provide accurate and current information but do not warrant that all information on the Services will always be complete, accurate, current, uninterrupted, secure, or error-free.

We are not responsible for:

Errors or inaccuracies in website Content;

Unauthorized access to or use of systems maintained by third-party providers;

Interruptions in transmission to or from the Services;

Viruses or other harmful components transmitted by third parties; or

Losses resulting from reliance on third-party websites or services.

Nothing in this section limits liability that cannot legally be limited or excluded.


18. LIMITATIONS OF LIABILITY

To the fullest extent permitted by applicable law, Engage Family Education LLC DBA Apogee Alliance PA and its owners, directors, officers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from your use of or inability to use the Services.

This may include loss of profits, revenue, data, goodwill, or other intangible losses.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.


19. INDEMNIFICATION

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Engage Family Education LLC DBA Apogee Alliance PA and its affiliates, owners, officers, employees, contractors, agents, and partners from claims, damages, losses, liabilities, costs, and reasonable attorneys' fees arising from:

Your misuse of the Services;

Your violation of these Terms and Conditions;

Your violation of applicable law;

Your infringement of another person's rights; or

Content or information you submit through the Services.

We reserve the right to assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate with that defense.


20. USER DATA

We may maintain certain data you transmit through the Services for purposes including operating the Services, managing registrations, communicating with families, processing transactions, maintaining records, and improving our programs.

Although we and our service providers may use reasonable data-storage and backup practices, no system is guaranteed to prevent all data loss.

You are responsible for maintaining copies of information you consider important.

Collection and use of Personal Data are also governed by our Privacy Policy.


21. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Site, submitting online forms, registering for programs, making electronic payments, sending emails, or otherwise communicating with us electronically constitutes electronic communication.

You consent to receive electronic communications from us.

You agree that agreements, notices, disclosures, invoices, policies, waivers, records, and other communications provided electronically satisfy applicable requirements that communications be provided in writing.

Where electronic signature functionality is offered, you agree that electronic signatures, acknowledgments, agreements, contracts, authorizations, and records may have the same effect as their paper equivalents to the extent permitted by applicable law.


22. SMS TEXT MESSAGING

If you provide a mobile phone number and consent to receive SMS/text messages from Apogee Alliance PA, we may send messages related to inquiries, enrollment, registrations, scheduling, events, program updates, reminders, community information, and other relevant communications.

Message frequency may vary.

Message and data rates may apply depending on your carrier and mobile plan.

24. MISCELLANEOUS

These Terms and Conditions, together with any applicable Privacy Policy, enrollment agreement, waiver, registration terms, payment agreement, or other policies incorporated by reference, constitute the agreement between you and us regarding the applicable Services.

Our failure to exercise or enforce a right or provision does not operate as a waiver of that right or provision.

We may assign our rights and obligations where permitted by law.

We will not be responsible for delays or failures caused by circumstances beyond our reasonable control.

If any provision of these Terms and Conditions is determined to be unlawful, invalid, or unenforceable, that provision will be considered severable and will not affect the validity or enforceability of the remaining provisions.

Nothing in these Terms and Conditions creates a joint venture, partnership, employment, fiduciary, or agency relationship between you and the Company.

The electronic format of these Terms and Conditions does not affect their validity or enforceability.
